Agreement to Terms

By accessing or using this website, or by engaging Surge Local for website design, local SEO, or related digital marketing services, you agree to be bound by these Terms of Service. If you do not agree, please do not use this site or our services.

Description of Services

Surge Local provides two categories of service:

• Flat-fee website design: custom-built websites delivered for a fixed, agreed-upon price.
• Performance-based local SEO: search engine optimization, Google Business Profile management, and related digital marketing services billed according to verified results (phone calls, texts, or form submissions) rather than a fixed monthly retainer.

The specific scope, deliverables, timeline, and pricing for any engagement will be set out in a separate written agreement or proposal between you and us. These Terms govern your general use of this website and supplement, rather than replace, that agreement.

Performance-Based Pricing

For performance-based engagements, fees are calculated based on verified leads (calls, texts, or form submissions) generated through our work, using the pricing method specified in your service agreement.

No client is billed a flat monthly retainer under this model.

Full billing mechanics, lead verification, and dispute procedures are set out in your individual service agreement, not on this page.

Payment Terms

Payment terms, invoicing schedules, and accepted payment methods will be specified in your individual service agreement. Late payments may result in suspension of services until the account is brought current.

Client Responsibilities

To deliver our services effectively, we may require you to provide timely access to accounts, platforms, and credentials, along with business information and content (such as photos, testimonials, or copy). Delays in providing this access may affect project timelines, and we are not responsible for delays caused by incomplete or late information from you.

Intellectual Property

Upon full payment for a website design project, ownership of the completed website design transfers to you, unless otherwise stated in your service agreement.

We retain the right to display completed work in our own portfolio and marketing materials unless you request otherwise in writing. Any underlying tools, templates, or proprietary systems used to build or optimize your site or campaigns remain our property.

Guarantees and Disclaimers

Where a specific performance guarantee is offered (such as a lead-count guarantee within a defined period), the exact terms of that guarantee will be set out in your service agreement.

Outside of an explicit written guarantee, we do not promise specific rankings, traffic, or revenue outcomes, because search engine and market results depend on factors outside our control, including but not limited to search engine algorithm changes, competitor activity, and market conditions.

Limitation of Liability

To the maximum extent permitted by law, Surge Local is not liable for indirect, incidental, or consequential damages arising from your use of this website or our services, including lost profits or lost business opportunities. Our total liability for any claim arising from our services will not exceed the amount you paid us for the specific service giving rise to the claim.

Termination

Either party may terminate a service agreement according to the terms set out in that agreement. Upon termination, you remain responsible for payment of fees earned or owed up to the termination date.

Governing Law

These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.

Changes to These Terms

We may update these Terms from time to time. Continued use of this website or our services after changes are posted constitutes acceptance of the revised Terms.
